Remote Assistance Access and Release Agreement
In order to obtain remote assistance you must read, acknowledge and accept the terms of this Agreement by clicking on “I Agree” at the end of this Agreement.
By accepting this Agreement you have requested that IRESS Market Technology Pty Limited ABN 47 060 313 359 or any of its group companies ("IRESS") remotely connects to your computer systems (which expression shall in this Agreement include all hardware, software and interconnectivity equipment of all and any nature) via the internet in order to assist with any technical or functional query relating to the use of any one or more products from IRESS’s software suite. Due to the urgency of your request, IRESS has agreed to attempt to assist you by allowing a member of the IRESS helpdesk team to view your desktop and share control of your mouse and keyboard, subject to your execution of this Remote Assistance Access and Release Agreement (this Agreement).
You expressly acknowledge that you have been advised that IRESS's normal procedure is to require that computer problems be documented by you as they occur to permit IRESS to evaluate them and, if necessary, try to recreate the problem on IRESS's own computers under appropriate test conditions. You further expressly acknowledge that there is a possibility that IRESS's efforts to solve your problems by remotely connecting to your computer systems may result in damage to your computer hardware, software and/or any related systems, including, without limitation, loss of data. Notwithstanding the possibility of such damage, you hereby expressly grant IRESS permission to remotely connect to your computer systems and to record the screen activity during the Remote Assistance session.
In consideration of IRESS providing remote access, you hereby waive and release any and all claims you may have or will ever have against IRESS or any of its subsidiary companies and their employees, contractors, agents, affiliates, directors and officers relating to or arising out of any damage or loss of any nature whatsoever that results, directly or indirectly, from IRESS remotely connecting to your computer systems as requested by you pursuant to this Agreement, (and if appropriate the recording by IRESS of the sessions), including, without limitation, loss of data and damage to your computer hardware, software and/or any related systems.
You agree to defend, indemnify and hold harmless, IRESS or any of its subsidiary companies and their employees, contractors, agents, affiliates, directors and officers from any and all third party claims, demands, liabilities, costs or expenses, including any legal fees (on an indemnity basis) arising from or in any way relating to or arising out of any damage or loss of any nature whatsoever that results, directly or indirectly, from IRESS remotely connecting to your computer systems and/or recording the sessions as requested by you herein.
You acknowledge and agree that this agreement does not supersede any other agreements you may have with IRESS and any obligations contained within. This Agreement will be governed by the laws of the State of Victoria. This agreement may only be amended by a written agreement signed by authorised representatives of both parties.
